ANOC is a firm of Chartered Accountants registered in Nigeria, providing audit, accounting, tax, consulting, risk management, and advisory services to businesses, institutions, and individuals.
2. Services Description
ANOC provides the following professional services:
- Audit & Assurance: Financial statement audits, internal audits, compliance audits, and assurance services in accordance with IFRS and Nigerian regulations.
- Accounting Services: Bookkeeping, financial reporting, management accounting, and payroll processing.
- Tax Advisory: Tax planning, compliance, structuring, and dispute resolution services.
- Business Consulting: Strategic planning, feasibility studies, financial modeling, and performance improvement.
- Risk Management: Enterprise risk management, internal controls, fraud prevention, and compliance frameworks.
- Advisory Services: Mergers & acquisitions, due diligence, transaction advisory, and corporate restructuring.
All services are subject to formal engagement letters that will specify the scope, deliverables, fees, and terms specific to each engagement.
3. Client Responsibilities
When engaging our services, you agree to:
Provide Accurate Information
Supply complete, accurate, and timely information, documents, and records necessary for us to perform our services.
Timely Communication
Respond promptly to our requests for information and maintain open communication throughout the engagement.
Authority to Engage
Confirm that you have the authority to engage our services and agree to these Terms on behalf of your organization.
Compliance with Laws
Ensure that your business operations and the information you provide comply with all applicable laws and regulations.
4. Professional Standards
ANOC operates in accordance with the highest professional standards, including but not limited to:
- International Financial Reporting Standards (IFRS)
- International Standards on Auditing (ISA)
- Institute of Chartered Accountants of Nigeria (ICAN) Code of Ethics
- Financial Reporting Council of Nigeria (FRCN) Regulations
- Nigeria Data Protection Act (NDPA) 2023
Our professionals maintain independence, objectivity, and confidentiality in all engagements. We will notify you immediately if any conflict of interest arises that may affect our ability to serve you.
5. Fees and Payment
Our fees are based on the nature and complexity of the services provided, as outlined in the engagement letter for each specific engagement.
Payment Terms
- •Invoices are typically payable within 30 days of the invoice date unless otherwise specified in the engagement letter.
- •Late payments may incur interest charges at the prevailing Central Bank of Nigeria (CBN) rate plus 2%.
- •We reserve the right to suspend services if invoices remain unpaid beyond 60 days or as specified in the engagement letter.
- •Expenses incurred on your behalf (travel, third-party fees, etc.) will be billed separately or included in our fees as agreed.
6. Confidentiality
We are committed to maintaining the confidentiality of all client information in accordance with professional standards and applicable laws, including the NDPA 2023.
We will not disclose your confidential information except:
- •With your express written consent
- •When required by law, court order, or regulatory authority
- •To comply with professional or ethical obligations
- •To our professional advisors under obligations of confidentiality
Client confidentiality obligations survive the termination of our engagement and remain in effect indefinitely.
7. Intellectual Property
Unless otherwise agreed in writing, all methodologies, templates, tools, and work products developed by ANOC in the course of providing services remain the intellectual property of ANOC.
You will own the final deliverables specified in the engagement letter, but we retain the right to use anonymized or aggregated data and insights for internal training, methodology improvement, and thought leadership purposes.
All content on our website, including text, graphics, logos, and software, is the property of ANOC and protected by Nigerian and international copyright laws.
8. Limitation of Liability
IMPORTANT - PLEASE READ CAREFULLY
To the maximum extent permitted by law, ANOC's total liability to you for any claims arising from or related to our services shall not exceed the fees paid by you for the specific engagement giving rise to the claim, or NGN 5,000,000 (Five Million Naira), whichever is lower.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data, even if we have been advised of the possibility of such damages.
These limitations apply except in cases of fraud, willful misconduct, or gross negligence by ANOC or where prohibited by law.
Our services provide professional opinions and recommendations based on the information available at the time. We do not guarantee specific outcomes or results.
9. Indemnification
You agree to indemnify, defend, and hold harmless ANOC, its partners, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms or applicable laws
- Inaccurate or incomplete information provided to us
- Your misuse of our services or deliverables
- Third-party claims related to your business operations
10. Termination
Either party may terminate an engagement in accordance with the terms specified in the engagement letter, typically with written notice.
Client Termination
You may terminate an engagement at any time with written notice. You remain responsible for fees for work completed up to the termination date.
ANOC Termination
We may terminate if you fail to provide necessary information, breach these Terms, fail to pay invoices, or if continuing would violate professional standards.
Upon termination, we will provide you with copies of your records in our possession, subject to payment of all outstanding fees.
11. Dispute Resolution
In the event of any dispute arising from these Terms or our services, the parties agree to the following resolution process:
Informal Negotiation
The parties will first attempt to resolve the dispute through good faith negotiations for a period of 30 days.
Mediation
If informal negotiation fails, the parties agree to submit the dispute to mediation in Lagos, Nigeria.
Arbitration
If mediation is unsuccessful, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act of Nigeria.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of Lagos State, Nigeria, and you consent to the jurisdiction of such courts.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify clients of material changes via email or by posting a notice on our website.
Your continued use of our website or services after such modifications constitutes your acceptance of the updated Terms. The "Last Updated" date at the top of this page indicates when these Terms were last revised.
For ongoing engagements, material changes to Terms will be communicated directly and may require mutual agreement through an amended engagement letter.
